The Company's Board of Commissioners is responsible for overseeing the Company’s management by the Board of Directors and for ensuring the Company has implemented GCG in a sustainable manner.


The Board of Commissioners is also responsible for providing assistance to the Board of Directors in determining the Company’s strategy, as well as providing suggestions, advice and recommendations to the Board of Directors regarding certain issues and matters. In performing its duties and responsibilities, the Board of Commissioners shall act in an independent manner.

President Commissioner

F. S. Multhazar

Major General (Ret.) F. S. Multhazar is a retired officer who graduated from the Indonesian Military Academy (1988) and the Army Command and Staff College (2003).

Fauzambi began his career as a Unit Commander in Kopassus (Special Forces Command) in 1988, then served as a Senior Staff Officer at Rikumit, and as the Military District Commander of 0719/Jepara under Regional Military Command IV/Diponegoro. He also served as Special Staff to the Chief of Staff of the Indonesian Army and as Head of the Supervisory Unit at the Defense University, Ministry of Defense of the Republic of Indonesia.

Fauzambi was appointed as a Commissioner at the Extraordinary General Meeting of Shareholders (GMS) on July 28, 2025. He will serve as President Commissioner until the 2028 Annual General Meeting of Shareholders.

Muhammad Rachmat Kaimuddin

Rachmat holds a BSc from the Massachusetts Institute of Technology and an MBA from the Stanford Graduate School of Business.

Rachmat started his career as a Senior Associate at the Boston Consulting Group. He has also served as Managing Director of PT Cardig Air Services, Chief Financial Officer of PT Bosowa Corporindo, Managing Director of PT Semen Bosowa Maros, Vice President of Baring Private Equity Asia and Principal of Quvat.

Rachmat was appointed as Commissioner at the Extraordinary GMS on June 21, 2022. Beside of that, Rahmat was a Deputy for Infrastructure and Transportation Coordination at the Coordinating Ministry for Maritime and Investment Affairs of the Republic of Indonesia since 2022 until now.

Emily Olson

Emily Olson is Chief Sustainability and Corporate Affairs Officer of Vale Base Metals. Previously, she worked as Vice-President, Global Strategic Relations at Freeport-McMoRan, responsible for driving global strategic initiatives inclusive of governments, partners, and various external organizations.

Prior to joining Freeport, Emily spent nearly 15 years with BP in both the US and London, most recently as Senior Vice President for Europe and Russia managing BP’s corporate interests across the regions. She has a degree in Political Science from Loyola University of Chicago and a Masters’ Degree in International Strategy & Diplomacy from the London School of Economics.

Kristina Gauthier

Kristina Gauthier currently serves as Chief Commercial Officer at Vale Base Metals since 2023 and as Commissioner of the Company since 2024. She has over two decades of experience in the mining and metals industry, with extensive expertise in commercial, marketing, and sales functions.

Prior to her current role, she served as Head of Nickel Sales at Vale Base Metals (2021–2023) and previously held a long tenure at Sherritt International Corporation (1996–2021) as well as Precision Resources Canada Ltd. (1991–1996).

In addition, she is actively involved in several international professional organizations, including serving as a Member of the Board of the International Copper Association since 2025 and as Chair of the Nickel Committee at the London Metal Exchange since 2024. She also previously served as Chairman of the Board of The Nickel Institute (2021–2023).

Kristina Gauthier holds an academic background in English and Psychology from Wilfrid Laurier University. She has also completed various professional development programs in finance and project management, including a Master’s Certificate in Project Management from Schulich School of Business, York University, as well as finance programs from Queen’s University.

Commissioner

Fabio Ferraz

Born in Sao Paulo, November 10, 1967. He has held the position of Head of Mergers And Acquisitions (M&A) and Joint Ventures, Vale S.A., since 2018 until now. Prior to joining Vale, Fabio had a long career in the banking industry which he started in 1994. He served as Head of Corporate & Investment Banking at Haitong Bank (2016-2018), Co-Head of Corporate & Investment Banking at Banco Pine (2013 -2016), and Managing Director for Investment Banking (2010-2013). Previously, he was Executive Director, Head of M&A LatAm Investment Banking at UBS Investment Banking (2000-2005).

The Brazilian national holds a Bachelor of Business Administration from Fundacao Getulio Vargas (1990), and a Master of Business Administration from the University of Michigan (1994).

Fabio was appointed as Commissioner of the Company at the Annual GMS on January 19, 2022.

Patricia Renee Pegues

Patricia Renee Pegues currently serves as Director of Corporate Strategy at Vale Base Metals since 2025. She joined Vale in 2004 and brings extensive experience in mining engineering, mine planning, business development, and corporate strategy. Throughout her career at Vale Base Metals, she has held several key leadership roles, including Director Technical Services, North Atlantic Division (2023–2024), General Manager Business Development (2021–2023), and Senior Manager Mining Planning Technical Services, North Atlantic Division (2018–2020).

She has also served in various Chief Mine Engineer roles, including at Creighton Mine and in long-range planning for Ontario Operations, as well as undertaking an international secondment as Senior Mine Planning Consultant at Lubambe Copper Mine, Zambia (2015–2017). She began her career at Vale as an Engineer in Training in 2004 and progressed through multiple technical and operational roles within mining operations.

Prior to joining Vale, Patricia Renee Pegues gained early experience in the mining industry through roles at international companies, including Boliden in Sweden, INCO in Canada, Falconbridge Ltd., and Teck Corporation.

Patricia Renee Pegues holds a Bachelor of Applied Science in Mining Engineering from Queen’s University, Kingston, Ontario, Canada.

Adam MacMillan

Adam MacMillan currently serves as Director of Processing, Research & Innovation at Vale Base Metals since 2023. He joined Vale (previously Vale S.A. & Inco) in 2002 and has held various strategic positions in operations, planning, strategy, as well as research and development. His previous roles include Head of Nickel Strategy (2021–2023), General Manager – Business Technical Planning (2018–2021), General Manager – R&D and Partnerships (2015–2017), and General Manager – Global Strategy (2011–2014). Earlier in his career, he also served as Manager – Planning Process and Strategic Management (2007–2010), and began his career as an Industrial Engineer in 2002, progressing through various operational and technical roles.

Adam MacMillan obtained a Master of Business Administration (Finance, International Business, and Strategy) from Schulich School of Business, York University, Toronto. He also holds a Bachelor of Applied Science (Honours) in Industrial and Manufacturing Systems Engineering from the University of Windsor, and a Bachelor of Business Administration from the University of New Brunswick.
